1. Definitions

In these Terms & Conditions, the following definitions apply unless the context requires otherwise:

"Company," "we," "us," or "our" refers to Teak Meridian, a business consulting firm operating from 27/1 Tha Phae Road, Chang Khlan, Mueang Chiang Mai, Chiang Mai 50100, Thailand.

"Client," "you," or "your" refers to any individual or organization that accesses our website, submits an inquiry, or engages our consulting services.

"Services" refers to the consulting, advisory, research, and strategy engagements described on our website, including Competitive Positioning Analysis, Talent Strategy and Workforce Planning, and the Full-Spectrum Business Strategy Retainer.

"Agreement" means the combined effect of these Terms & Conditions, any engagement letter or proposal signed by both parties, and any subsequent written amendments.

"Website" refers to the site hosted at https://teakmeridifan.top.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity.

Use of this website is intended for individuals who are at least 18 years of age. By continuing to use the site, you confirm that you meet this age requirement.

If you do not agree with any part of these terms, we kindly ask that you refrain from using the website or our services.

3. Description of Services

Teak Meridian provides business consulting and advisory services with a focus on competitive analysis, talent strategy, and ongoing strategic support. Our services are delivered through structured engagements that are defined in detail within individual proposals or engagement letters.

The scope, timeline, deliverables, and pricing for each engagement are agreed upon in writing before work begins. Any information presented on our website about services, including pricing, is indicative and may be adjusted based on the particular needs and circumstances of each client.

Our services are primarily available to businesses and organizations operating in or connected to the Thailand market, though we may work with clients in other regions on a case-by-case basis.

4. Client Responsibilities

When engaging our services, you agree to the following responsibilities:

Accurate information: You will provide complete, truthful, and current information relevant to your engagement. Our ability to deliver useful advisory work depends on the quality and accuracy of the information shared with us.

Timely responses: You will respond to reasonable requests for information, feedback, and approvals within a timely manner to keep engagements on schedule.

Appropriate use: You will not use our website or services for any unlawful purpose, to misrepresent your identity, or to disseminate harmful content. You will not attempt to interfere with the proper functioning of our website.

Confidentiality: You will treat any proprietary frameworks, tools, or methodologies shared during an engagement as confidential and will not share them with third parties without our written consent.

5. Intellectual Property

All content on this website, including text, graphics, layouts, icons, and code, is the property of Teak Meridian or its content providers and is protected by applicable intellectual property laws in Thailand and internationally.

Upon full payment for an engagement, you receive a non-exclusive, non-transferable license to use the deliverables produced during that engagement for your internal business purposes. Teak Meridian retains ownership of all underlying frameworks, methodologies, templates, and proprietary tools used in the creation of deliverables.

You may not reproduce, distribute, publicly display, or create derivative works from our website content or service deliverables without prior written permission, except as needed for the normal use of our deliverables within your organization.

6. Payment Terms

All fees for our services are quoted in Thai Baht (฿ THB) unless otherwise stated in writing. Specific pricing, payment schedules, and billing terms are outlined in the engagement letter or proposal for each project.

Invoicing: Invoices are issued according to the payment schedule agreed in the engagement letter. Standard payment terms are 15 business days from the date of invoice, unless otherwise negotiated.

Late payments: Overdue invoices may incur a late fee of 1.5% per month on the outstanding balance, calculated from the due date. We reserve the right to pause work on an engagement if payments remain outstanding beyond 30 days.

Refunds: Fees for completed work or work already in progress are generally non-refundable. If a client wishes to discontinue an engagement, they are responsible for fees corresponding to work completed up to the date of cancellation. Any prepaid amounts for undelivered work will be reviewed on a case-by-case basis, and refunds may be provided at our discretion after accounting for costs incurred.

7. Service-Specific Terms

The following terms apply to specific service offerings:

Competitive Positioning Analysis (฿7,200 THB): This is a three-week engagement. The analysis relies on publicly available data and customer-facing indicators. We do not engage in any form of corporate espionage or access proprietary competitor information. Deliverables include a comparative strengths matrix and differentiation pathways document.

Talent Strategy and Workforce Planning (฿25,500 THB): This eight-week program involves assessment of organizational data that you provide. Sensitivity of employee-related information is acknowledged, and we handle all such data in accordance with our Privacy Policy. Deliverables include a phased talent plan, compensation benchmarks, role architecture, and training roadmap.

Full-Spectrum Business Strategy Retainer (฿45,000 THB/quarter): Retainer periods operate on a quarterly cycle. Either party may discontinue the retainer at the end of a quarter with 30 days' written notice. Advisory memos and workshop materials produced during the retainer remain available to the client after the retainer ends, subject to the intellectual property terms above.

8. Disclaimers

Our consulting services are provided on an "as-is" basis. While we apply professional diligence and draw on our experience, we do not make representations or warranties regarding specific business outcomes that may result from our advisory work.

The information on our website is provided for general informational purposes and does not constitute professional advice for any particular situation. We encourage clients to exercise independent judgment and, where appropriate, seek additional counsel before acting on our recommendations.

Market conditions, regulatory environments, and business circumstances change over time. Analysis and recommendations that are sound at the time of delivery may need to be revisited as conditions evolve. We are not responsible for outcomes that result from the application of our recommendations in changed circumstances.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Teak Meridian's total liability arising out of or relating to any engagement shall not exceed the total fees paid by the client for that specific engagement during the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited under the laws of Thailand.

10. Indemnification

You agree to indemnify and hold harmless Teak Meridian, its advisors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, or any third-party claim related to your use of our deliverables.

11. Confidentiality

Both parties acknowledge that during the course of an engagement, confidential information may be exchanged. Each party agrees to hold such information in confidence and not disclose it to third parties without the disclosing party's prior written consent, except as required by law.

Confidentiality obligations survive the termination of any engagement for a period of two years, unless the information becomes publicly available through no fault of the receiving party.

12. Termination

Either party may terminate an engagement by providing written notice in accordance with the terms set out in the applicable engagement letter. In the absence of specific termination provisions, either party may terminate with 14 days' written notice.

Upon termination, the client remains responsible for all fees for work completed prior to the termination date. We will provide all completed or in-progress deliverables upon receipt of outstanding payments.

Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination of the agreement.

13. Force Majeure

Neither party shall be liable for any delay or failure in performing its obligations if such delay or failure results from circumstances beyond the reasonable control of that party, including natural disasters, government actions, civil unrest, pandemics, or significant disruptions to essential infrastructure. In such cases, the affected party will provide reasonable notice and both parties will work together to find a suitable path forward.

14. Dispute Resolution

Governing law: These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand.

Informal resolution: Before pursuing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion. Either party may initiate this process by sending a written notice describing the dispute and a proposed resolution.

Jurisdiction: If informal resolution is unsuccessful within 30 days, either party may submit the dispute to the courts of competent jurisdiction in Chiang Mai Province, Thailand. Both parties agree to submit to the jurisdiction of those courts.

15. General Provisions

Entire agreement: These Terms & Conditions, together with any signed engagement letter, constitute the entire agreement between the parties regarding the subject matter described here and supersede all prior discussions, proposals, or agreements.

Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: A failure by either party to enforce any right or provision shall not constitute a waiver of that right or provision in any future instance.

Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or restructuring.

Notices: Any notices required under these terms should be sent in writing to the contact details provided below or to the address specified in the relevant engagement letter.

16. Changes to These Terms

We may update these Terms & Conditions from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For active engagement clients, we will provide direct written notification of material changes.

Your continued use of our website after changes are posted constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
